In keeping with Sunkist's tradition of encouraging and recognizing kids to support charity, Sunkist is inviting kids 5-12 years old across America to Take a Stand® for their favorite charity and design their own lemonade stand, integrating their personality, hometown and key elements about the charity of their choice. The stand tells their story! With help from their parents, kids can repurpose boxes from home and then let their creativity loose! Kids can draw/paint pictures of themselves, their community and illustrate why the 501(c) (3) charitable cause they've chosen is near and dear to their hearts. When ready, parents or legal guardians can upload pictures of their child's stand to Facebook for the opportunity to win prizes (as detailed below).

To be eligible to enter the Take a Stand® lemonade stand design contest on Facebook (the "Contest"), participants must:

• Be the parent or legal guardian of the child or children in the submitted entry.
• Currently be or become a member of Facebook.com (membership is free).
• Once a Facebook member, enter design submission on the Facebook/Sunkist profile page between 12:00 am EST on July 13, 2009 — 11:59 pm EST on September 11, 2009 and click on Sunkist Take a Stand® promotional box. Follow on-screen instructions and you will be directed to upload a high resolution photo of your child's original lemonade stand design, along with a brief description of your child's charity of choice and a comment revealing where you and your child like to shop for fresh Sunkist citrus.
• Be a legal resident of the 50 United States and the District of Columbia, who have reached the age of majority in their state of residence as of date of entry. Entries originating from any other jurisdiction are not eligible for entry. This Contest is governed exclusively by the laws of the United States. You are not authorized to participate in the Contest if you are not located within the United States. Void outside of the 50 United States and the District of Columbia, and where prohibited, taxed or restricted by law.
• Employees, officers and directors of Sunkist Growers ("Sponsor"), its subsidiaries, affiliates, partners, dealers, advertising and promotion agencies, manufacturers or distributors of Contest materials and their immediate families (parents, children, siblings, spouse) or members of the same household (whether related or not) of such employees/officers/directors are not eligible to enter.
• Each entry must be original, unpublished, the sole property of submitter (or if the photo was taken by someone other than entrant, entrant must have acquired all rights necessary to use and submit the photo in connection herewith), and not previously submitted in any other contest and may not infringe upon any third party rights. The photo may include other members of entrant's immediate family (e.g., father, mother, children) but no other persons. Other than Sunkist, no copyrighted material may be incorporated in the photo without permission from the copyright owner. In addition, submissions must not include third-party trademarks, logos, insignia, locations, signage, photographs, artwork, or sculpture or any other materials for which a release or license would be required. Any violation of copyright or trademark laws will result in the removal and forfeit of entry. Entrant represents and warrants that he/she is the parent or legal guardian of the child or the children in the photo and is authorized to grant Sponsor the right and permission to use the photo, including child's name and likeness.
• Agree to allow images of your child's design to be showcased among others at www.sunkist.com's online gallery on Facebook.com and grant their permission to have the photo of their child/children posted on the gallery.
• All entries become the sole and exclusive property of Sponsor and receipt of entries will not be acknowledged or returned. Sponsor is not responsible for lost, late, illegible, stolen, incomplete, invalid, unintelligible, misdirected, technically corrupted or garbled entries, which will be disqualified, or for problems of any kind whether mechanical, human or electronic involved in entering or playing the game. Only fully completed entries are eligible.

Judging/Winner Notification:

• First 50 entrants who properly enter their child's design submission on the Facebook/Sunkist profile page and complete all entry requirements will each receive a Sunkist Take A Stand® T-shirt (Approximate Retail Value (ARV) of each T-shirt: $15.00).
• Over the course of the summer from July 13, 2009 — September 11, 2009, Sunkist will select one (1) Grand Prize winner from all eligible entries received during each of three rounds of entry (for a total of three (3) Grand Prize winners). All eligible entries received during the three rounds will be judged by the Facebook community based on the following equally weighted judging criteria: (1) creativity of stand design, (2) originality and (3) inspiration for selecting the 501(c) (3) charity of entrant's child's choice. The three entrants that receive the highest combined cumulative scores for the above criteria will be declared the Grand Prize winners for their respective rounds. The entry periods and corresponding judging dates and times are as follows: Round #1: Entries received between 12:00 pm EST on July 13, 2009 and 11:59 pm EST on July 27, 2009; Facebook community judging conducted between July 28, 2009 and July 31, 2009; Winner notification on August 1, 2009; Winner announcement posted on the Facebook/Sunkist profile page on or about August 3, 2009. Round #2: Entries received between 12:00 pm EST on August 4, 2009 and 11:59 pm EST on August 18, 2009; Facebook community judging conducted between August 19, 2009 and August 22, 2009; Winner notification on August 23, 2009; Winner announcement posted on the Facebook/Sunkist profile page on or about August 27, 2009. Round #3: Entries received between 12:00 pm EST on August 28, 2009 and 11:59 pm EST on September 4, 2009; Facebook community judging conducted between September 5, 2009 and September 8, 2009; Winner notification on September 9, 2009; Winner announcement posted on the Facebook/Sunkist profile page on or about September 11, 2009. Each judging pool will consist of eligible entries received during the applicable round. In addition, non-winning entries submitted during previous rounds will have the opportunity to resubmit their entries for consideration in later rounds. In the event of a tie, the entrant with the highest creativity score will be declared the winner. Limit one vote per person each public voting day. The use of robotic or automatic devices for voting is prohibited and Sponsor reserves the right to nullify any and all such votes and to disqualify from voting the responsible individual.
• Winners will be notified via Facebook and must provide contact information including phone and mailing address (sorry, we cannot deliver to P.O. Boxes).
• At the judges' discretion, entries including unsuitable content or that are in violation of third-party rights (including, but not limited to, copyrights) will be immediately disqualified. All federal, state and/or local rules and regulations apply.

Prizes:

First fifty (50) qualified entrants will receive Sunkist Take a Stand® T-shirts (ARV: $15.00 each). Three (3) Grand Prize winners will each receive a $100 grocery gift card of their choice and have their verified lemonade stand sales matched by Sunkist (up to $500 dollars) towards the 501(c) (3) charity of their choice, subject to approval by Sponsor in its sole discretion. Each charitable organization must be established as a non-profit organization under section 501(c) (3) of the Internal Revenue Code.

Prizes are non-transferable. No substitutions or cash redemptions. In the case of unavailability of any prize, Sponsor reserves the right to substitute a prize of equal or greater value, in Sponsor's sole discretion. Taxes and unspecified expenses are the responsibility of winners.

By entering the Contest, entrants accept and agree to these rules, the Facebook Terms of Use and the decisions of the judges, which shall be final. Winners will be required to sign and return an Affidavit of Eligibility and Liability/Publicity Release within forty-eight hours of prize notification or the prize will be forfeited in its entirety and another winner may be selected. Additionally, the parent or legal guardian of the winning entry may be required to sign a publicity release on behalf of the child depicted in the winning entry. Return of any prize or notification as undeliverable will result in disqualification and an alternate winner may be selected.

By submitting an entry, entrant agrees to allow use of his or her child's name and entry for advertising and promoting this or similar promotions, including posting of their child's first name and last initial on the Sunkist Web site, without compensation unless prohibited by law. By participating in this Contest, all entrants hereby assign and transfer any and all intellectual property rights in and to their respective entries (including, but not limited to copyrights) to Sponsor, and waive any moral rights in the entry, to the full extent permitted by law. Entrant also agrees and acknowledges that Sponsor may edit and publish/post the entry prior to use, and that the entry is entrant's child's original work, and that Sponsor's use will not violate any third party's rights. All entries and all rights of ownership and publication of same will become the property of Sponsor and will not be acknowledged or returned.

Other Conditions: Sponsor assumes no responsibility for computer system, phone line, hardware, software or program malfunctions or other errors, failures of any kinds, delayed computer transmissions or network connections that are human or technical in nature. Sponsor reserves the right in its sole discretion to cancel or suspend this Contest, in its entirety or in part should virus, bug, tampering, unauthorized intervention, fraud, technical failures, or other causes beyond Sponsor's control corrupt the administration, security, fairness, integrity or proper play of the Contest. Sponsor is not responsible for incorrect or inaccurate entry information whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Contest by any technical or human errors which may occur in the processing of the entries in the Contest. Sponsor reserves the right to withdraw the transmission of this Contest at any time and award the prize from among eligible entries received prior to the date of the withdrawal. Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, extend or suspend this Contest should (in its sole discretion) non-authorized human intervention, fraud or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the Contest. Sponsor reserves the right at its sole discretion to disqualify any individual whom it finds to be tampering with the entry process or the operation of the Contest or Web site or to be acting in violation of the Rules.

Use of Data:

Sponsor will be collecting personal data about entrants and entrant's children online, in accordance with its privacy policy. Please review the Sponsor's privacy policy at www.sunkist.com. By participating in the Contest, entrants hereby agree to Sponsor's collection and usage of their personal information and the personal information of their child(ren) and acknowledge that they have read and accepted Sponsor's privacy policy.

Eligibility: Sponsor and its subsidiaries, affiliates, partners, dealers, advertising and promotion agencies, manufacturers or distributors of Contest materials are not responsible for, and shall be indemnified by the prize winners against, any claims, injuries, losses or damages of any kind resulting from acceptance, use, misuse, possession, or loss of the prize or participation in any Contest-related activity and for any claims based on publicity rights, defamation or invasion of privacy and merchandise delivery. Void where prohibited, taxed or restricted by law. Subject to all Federal, state and local laws.
